End User Agreement

Introduction

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Babbily (“Company,” “we,” “us,” or “our”) governing your use of Babbily’s software, services, and related documentation (collectively, the “Service”).

License Grant

Subject to the terms of this Agreement, the Company grants you a non-exclusive, non-transferable, limited license to use the Service for your personal or internal business purposes.

Restrictions

You may not:

• Modify, copy, or create derivative works based on the Service.

• Reverse engineer, decompile, or disassemble the Service.

• Rent, lease, lend, sell, sublicense, or otherwise transfer the Service to any third party.

• Use the Service for any illegal or unauthorized purpose.

Intellectual Property

The Service and all related intellectual property rights, including trademarks, logos, and software, are owned by the Company or its licensors. Your use of the Service does not grant you any ownership rights in the Service or its content.

User Content

You are responsible for any content you create, upload, or share using the Service. You grant the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display such content in connection with the Service.

Privacy

Your use of the Service is subject to the Company’s Privacy Policy, which is incorporated into this Agreement by reference.

Termination

This Agreement will remain in effect until terminated by either you or the Company. The Company may terminate this Agreement at any time without notice if you breach any of its terms. Upon termination, you must cease all use of the Service and delete any copies.

Disclaimer of Warranties

The Service is provided “as is” without warranty of any kind, express or implied. The Company disclaims all warranties, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability

The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Service.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is based, without giving effect to any principles of conflicts of law.

Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding your use of the Service and supersedes all prior agreements and understandings, whether written or oral.
